Rule 506 Private Placement Offerings

Genesis develops products for entrepreneurs, some of whom seek venture capital to manufacture, market, and distribute their products.

Genesis has teamed with experts in building the business and infrastructure to support the post-development products and has developed a streamlined business structure tailored to high-tech products.

Investment opportunities are limited to "accredited investors" only. In general, an accredited investors is:

  1. An organization with total assets exceeding $5M that was not formed for the purpose of acquiring the securities.
  2. A natural person whose individual net worth (or joint net worth with that person's spouse) exceeds $1M.
  3. A natural person with at least a two-year history of individual income in excess of $200K (or joint income in excess of $300K with spouse), and a reasonable expectation that the same income level will be attained in the current year.
  4. Any director, executive officer, or general partner of the securities issuer.
